Job Description

Cox Media Group is seeking an experienced Corporate Governance Paralegal and Board Liaison supporting the General Counsel, Corporate Secretary on all general corporate matters. This position is responsible for supporting all aspects corporate governance at Cox Media Group. 

  • Serve as the initial point of contact for all internal requests for general corporate support and documents
  • Lead preparation for board meetings, create agendas, assemble board packages
  • Prepare, update and maintain all corporate housekeeping documents, including minutes, board resolutions and written consents, officer certificates and other public and non-public governance documents
  • Maintain and file formation/dissolution documents, Bylaws and Articles of Incorporation
  • Prepare and review documentation for intercompany transactions
  • Partner with finance on audit support and update audit documents
  • Maintain and update corporate policies, processes and template documents
  • Manage all aspects of business licensing for all entities and ensure compliance with applicable registrations regulations
  • Maintain corporate structure charts and subsidiary and affiliate lists
  • Work with other members of the legal team on M&A and special projects as needed



Job Requirements

  • Bachelor’s degree and paralegal certificate is required
  • At least five (5) years previous public company corporate paralegal experience is required
  • Strong analytical problem solving and decision-making skills required
  • Self-starter with a sense of urgency and ability to work independently
  • Excellent organization skills and attention to detail
  • Ability to build relationships internally as well as externally
  • Excellent communication, including strong presentation skills and executive presence
  • Demonstrated ability to work within a highly collaborative business environment
