Job Description

Counsel, Commercial Contracts and Operations will serve as a legal partner for clients across Cox Media Group (CMG), with a focus on drafting, reviewing and supporting contract negotiations. This role is responsible for supporting collaboration across multiple teams and practice areas to ensure a seamless experience for internal  clients, while optimizing CMG’s risk profile.  This role is also responsible for assisting the Assistant General Counsel with advertising, marketing and executing legal strategy for CMG, including providing advice to key clients with CMG’s TV and Radio groups, digital operations, and National Advertising Platforms. The successful candidate will provide legal support to paraprofessionals with contesting, promotions and events contracting and advice.

The qualified candidate must have strong contract skills and be able to address a wide range of corporate, transactional, and commercial matters that affect day-to-day business operations, including drafting, negotiating, and interpreting commercial contracts, licensing, sales contracts and advising on product strategy.  The ideal candidate will have strong experience in drafting and negotiating commercial contracts, general corporate matters, and counseling across a wide range of subjects. Experience with technology contracts (including insurance provisions), privacy, advertising and marketing law is a plus.

  • Drafts, reviews, advises on, and negotiates a variety of commercial contracts, including software and data licenses, SaaS, master services, professional services, marketing agreements and online terms and conditions.
  • Supports CMG’s National Advertising Platforms with sales agreements and advertising inventory agreements.
  • Partners with internal business clients to develop and execute action plans to resolve issues presented in contract negotiations.
  • Provides legal counsel and advice on a broad range of day-to-day operational legal topics, including commercial transactions, advertising, endorsement, promotions, events and contests, product strategy, and general business matters.
  • Coordinates with subject matter experts, both in legal and elsewhere in the company (e.g., procurement, tax, and the field), to efficiently provide legal services as assigned by the Assistant General Counsel.
  • Assists with the development and implementation of contract templates and procedures for operational efficiency.
  • Develops strong relationships with internal contacts and clients, including, but not limited to: procurement, IT, tax, finance, field personnel, other legal team members and other appropriate departments to provide superior service.
  • Responsible for identifying and helping to address difficult problems that may not be solved using existing practices and procedures; may have to respond and adapt to changing conditions or circumstances, requiring enterprise alignment and new approaches.
  • Responsible for effectively managing external advisers.

 

 

Job Requirements

  • J.D. from an accredited law school and admission to the state bar in which the attorney resides or eligibility to practice as registered in-house counsel.
  • A minimum of 3 years of legal experience as a practicing attorney, comprised of law firm and/or in-house counsel experience.
  • Demonstrate excellent written, verbal and listening skills
  • Proven experience and expertise in providing legal counsel with commercial contracts, preferably including technology, data, digital and marketing services.
  • Experience with media companies, privacy, insurance provisions, marketing and advertising is a plus.
  • Ability to work collaboratively as a member of a diverse team and partner with subject matter experts and other in-house attorneys to provide a seamless client experience resolve legal issues.
  • Business-minded, with strong initiative and excellent project management, collaboration, and problem-solving skills.
  • Ability to travel as necessary, likely less than 25% of the time.
